SALE LICENSE AND GENERAL CONDITIONS OF WHOLESALE SALE

INTERNATIONAL WHOLESALE CUSTOMERS

GENERAL CONDITIONS OF SALE

  1. MINIMUM PURCHASE FOR PROFESSIONAL CUSTOMERS
    1.1. Minimum order for the first purchase: 150 € per order, taxes, customs duties and transport costs not included. All product lines may be combined freely.
    1.2. From the second order onwards, the minimum order amount is 10 €, taxes and transport not included.

  2. ORDER PLACEMENT AND AVAILABILITY
    2.1. The placement of an order implies a firm and irrevocable commitment by the Point of Sale (POS) to purchase and pay for the Root Sunglasses & Watches products included in the order.
    2.2. The LICENSOR does not guarantee that all products included in orders will always be available.
    2.3. In the event of total or partial lack of stock, the LICENSOR reserves the right to supply the order partially or cancel unavailable items, without this giving rise to any compensation.

  3. PRICES
    3.1. All prices shown in price lists or in the professional area of the website www.rootsunglasses.com do not include VAT, local taxes, customs duties or other applicable charges.
    3.2. Prices may be modified at any time and without prior notice at the sole discretion of the LICENSOR.
    3.3. The POS expressly accepts the prices in force at the time the order is placed.

  4. DISCOUNTS AND PROMOTIONS
    4.1. The LICENSOR may apply volume discounts or special promotions according to current commercial campaigns.
    4.2. If the POS has been assigned a volume discount, it will be clearly displayed in step 1 of the checkout process.
    4.3. Discounts are not cumulative unless expressly stated.

  5. NON-CONFORMITIES AND CLAIMS
    5.1. The POS must notify the LICENSOR in writing of any claim or non-conformity related to the products within a maximum period of 14 calendar days from the date of delivery.
    5.2. Claims submitted after this period or not following the procedure indicated on the LICENSOR’s website will not be accepted.
    5.3. In the event of proven liability of the LICENSOR, such liability shall be limited exclusively to the replacement of the defective product or the refund of its price, after verification of the defect.
    5.4. For verification purposes, the POS must send the products to the LICENSOR by its own means.

  6. TRANSPORT COSTS
    6.1. Transport costs for international orders are borne by the POS in all cases.
    6.2. Transport costs will be clearly indicated during the checkout process when applicable.

  7. RISK
    7.1. The risk over the products passes to the POS at the time of delivery.
    7.2. Damage caused during transport must be stated on the delivery note at the time of receipt.

  8. PAYMENT CONDITIONS
    8.1. Orders must be paid in full according to the payment conditions established by the LICENSOR.
    8.2. Goods will not be shipped until full payment has been received.
    8.3. The LICENSOR reserves the right to suspend deliveries in case of non-payment.

  9. RETURNS AND EXCHANGES
    9.1. As an exceptional commercial gesture, the POS may request a return within 14 working days from receipt of the order.
    9.2. After this period, no returns or exchanges will be accepted.
    9.3. Returns of customized products, including personalized lenses, are not accepted.

  10. RETURN PROCEDURE
    10.1. To request a return, the POS must send an email to pedidos@rootsunglasses.com stating:

  • Order number or invoice number.

  • Products to be returned.

  • Reason for the return or defect detected.
    10.2. The LICENSOR will provide return instructions.
    10.3. Returns sent without prior authorization will not be accepted.

  1. CONDITIONS OF RETURNED PRODUCTS
    11.1. Products must be returned in the same condition in which they were received, with original packaging, labels, lens stickers and protective elements intact.
    11.2. In the case of watches, protective elements of the dial and movement must be present and unmanipulated.
    11.3. Otherwise, the return will be rejected and the POS will bear the cost of reshipping the rejected products.

  2. REJECTED RETURNS
    12.1. If a return is rejected for being outside the allowed period, for improper condition of the product or for not being considered defective, the POS will bear the return shipping costs.
    12.2. If, after a return, the remaining order value falls below the free-shipping threshold stated in section 15, original shipping costs may be deducted from the refund.

  3. INTERNATIONAL BANK TRANSFERS
    13.1. In the case of international bank transfers, the POS must ensure that the exact invoiced amount is received.
    13.2. Any bank fees or charges will be borne by the POS.

  4. RETURNS FROM NON-EU COUNTRIES
    14.1. Returns from countries outside the European Union must be declared with a value of 0 and clearly indicated as returned goods.
    14.2. The LICENSOR does not assume any customs duties or import charges.
    14.3. Shipments with customs costs will be rejected.

  5. SPECIAL VOLUME DISCOUNTS
    15.1. Orders exceeding 1,000 €: free international shipping and an additional 5 % discount on wholesale prices, applicable only under prompt payment conditions.
    15.2. Taxes, customs duties and local charges are not included.

SALE LICENSE AND BRAND USE

  1. AUTHORIZATION TO RESELL
    16.1. The LICENSOR authorizes the resale of Root Sunglasses & Watches products exclusively at the physical retail store address registered or notified by the POS.
    16.2. Products may only be sold to final consumers.

  2. ONLINE SALES
    17.1. The resale of Root Sunglasses & Watches products is permitted on international websites and online stores operated outside Spain, provided that such sales are directed exclusively to end consumers.
    17.2. The resale of Root Sunglasses & Watches products on websites, online stores or marketplaces active in Spain is not permitted without prior written authorization from the LICENSOR.
    17.3. The LICENSOR reserves the right to review and revoke this authorization if the online sale or presentation of the products damages the brand image or conflicts with the commercial strategy of the brand.

  3. PROMOTION AND BRAND IMAGE
    18.1. The POS is authorized to promote Root Sunglasses & Watches products and use the corporate brand image on social networks and digital media, provided that no direct online purchase option is available.
    18.2. Any use of images that may damage the brand image is prohibited.

  4. OBLIGATIONS OF THE POINT OF SALE
    19.1. The POS undertakes to provide the final consumer with a purchase receipt indicating the product reference or name, price paid, purchase date and POS details.
    19.2. This receipt will be required for any warranty claim.
